Terms of Service for AICodeStation
1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and AICodeStation LLC (“we,” “us,” or “our”), concerning your access to and use of the AICodeStation website [your-website.com] and the AICodeStation desktop software application (collectively, the “Service”).
By creating an account, downloading the Application, or using the Service, you agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.
2. User Accounts & Responsibilities
To access certain features of the Service, you may be required to register for an account. You agree to:
(a) provide accurate, current, and complete information as may be prompted by any registration forms on the Service (“Registration Data”);
(b) maintain the security of your password and identification;
(c) maintain and promptly update the Registration Data, and any other information you provide to us, to keep it accurate, current, and complete;
(d) accept all risks of unauthorized access to the Registration Data and any other information you provide to us.
You are responsible for all activity that occurs under your account.
3. Software License Grant
Subject to your compliance with these Terms and your payment of any applicable subscription fees, AICodeStation LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the AICodeStation Application on a device that you own or control, solely for your personal or internal business purposes.
4. License Restrictions
You agree that you will not, and will not permit any third party to:
(a) License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.
(b) Copy, modify, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Application.
(c) Use the Service to build a similar or competitive product or service.
(d) Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of AICodeStation LLC or its affiliates, partners, suppliers or the licensors of the Application.
5. Subscriptions and Payment
Certain features of the Service may be offered on a paid subscription basis (“Subscription(s)”).
(a) Billing: When you purchase a Subscription, you will be billed in advance on a recurring basis (e.g., monthly or annually), as specified at the time of purchase. Your Subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us.
(b) Payment Processing: All payments are processed by our designated third-party merchant of record (e.g., Paddle.com). By providing payment information, you agree that our payment processor may charge you for all fees due. We do not collect or store your payment card details.
(c) Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
6. Intellectual Property Rights
The Service, including the Application, website, logos, source code, content, features, and functionality, are and will remain the exclusive property of AICodeStation LLC and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AICodeStation LLC.
7. User Content & Feedback
You are responsible for any scripts, code, or other content you run or manage using the Service (“User Content”). You retain all rights to your User Content.
If you provide us with any feedback, suggestions, or ideas for improvements to the Service (“Feedback”), you hereby grant AICodeStation LLC a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, and implement such Feedback for any purpose without any compensation to you.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by discontinuing use of the Service or through your account settings.
9. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, AICodeStation LLC expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will AICodeStation LLC, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any unauthorized access to or use of our servers and/or any and all personal information stored therein.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
